TERMS OF USE

  1. Introduction and Acceptance of Terms

    Micra’s products and services are provided by micra.inceif.org. These Terms of Use ("Terms") govern your use of Micra's website and other products and services ("Services") available on Micra. Read these Terms carefully, and contact our Support Team for any questions. By using our Services, you agree to be bound by these Terms, including the policies mentioned and referred in these Terms. If you do not agree to these Terms, do not use the Services.

    Account registration and participation in any Courses or other Services is generally restricted to those individuals 18 years of age or older who are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties herein. By registering for or participating in a Programme or Service, you hereby represent that you are 18 years of age or older and have the authority and legal capacity to enter into a legally binding agreement with Micra. If you do not agree to these Terms, do not register, access, or otherwise use any of our Services.

    We reserve the right to revise these Terms at our sole discretion at any time. Any revisions to these Terms will be effective immediately upon posting by us. If we do this, depending on the nature of the change, we will post the changes on this page and indicate at the top of this page the date these Terms were last revised and/or notify you, either through the Services' user interface, in an email notification or through other reasonable means and as required by applicable law. By registering for, accessing or using any Services after any changes have been made, you signify your agreement to the modified Agreements and all of the changes, which will be effective immediately unless we notify you of a later effective date. If the changes are not acceptable to you, you should discontinue use of the Services. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service. In addition, when using certain Services, you will be subjected to any additional terms applicable to such Services that may be posted on the Services from time to time.

  2. Accounts

    You need an account to participate in the online and face-to-face programmes on our platform, including to purchase and enrol in an online and face-to-face course. When setting up and maintaining your account, you may be prompted or required to enter additional information, including, but not limited, to your name and email address. Additional information may be required to confirm your identity upon setting up your User Account. You understand and agree that all information provided by you is accurate, current, and complete and that you will maintain and update your information to keep it accurate, current, and complete. You acknowledge that if any information provided by you is untrue, inaccurate, not current, or incomplete, we reserve the right to terminate your use of the Services and your enrolment any online and face-to-face courses, to the extent applicable.

    You are fully responsible for your account and everything that happens on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. You may not transfer your account to someone else or use someone else’s account without their permission. Upon the demise of a user, the account of that user will be closed.

    You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by contacting our Support Team. We may request some information from you to confirm that you are indeed the owner of your account.

  3. Course Enrolment and Access

    Upon enrolling in a course, you will be getting a license to view the course via the Micra platform. Courses are licensed, and not sold, to you. This license does not give you any right to resell the course in any manner (including by sharing account information with a purchaser or illegally downloading the course and sharing it on torrent sites).

    In more complete terms, Micra grants you a limited, non-exclusive and non-transferable license for you to access and view the courses and associated content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with a particular courses or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course unless we give you explicit permission to do so in a written agreement signed by Micra’s authorised representative(s).

    We generally give a lifetime access license to our registered users when they enrol in a course. However, we reserve the right to revoke any license to access and use courses at any point in time in the event where we decide or are obligated to disable access to a course due to legal or policy reasons.

    The lifetime access is not applicable to add-on features and services associated with a course, for example translation captions of courses may be disabled by instructors at any time, and an instructor may decide at any time to no longer provide teaching assistance or Q&A services in association with a course. To be clear, the lifetime access is to the course content but not to the instructor.

  4. Academic Credits

    You will not receive any academic credit from Micra online and face-to-face programme. Admission to INCEIF’s academic programmes (Master’s, PhD, Professional Certificates) is separate from taking the online and face-to-face programmes offered on Micra. You agree and acknowledge that nothing in these Terms or otherwise with respect to your access or use of any of the Services or any Program (a) enrols or registers you in INCEIF’s academic programmes, or any other school, institute or program of or associated with INCEIF, or (b) entitles you to access or use the resources or receive any benefits or privileges of any of the foregoing entities beyond the enrolled online and face-to-face programme(s).  We may introduce/recommend academic programmes which you can register through the School at INCEIF. This will require a registration with the School that is separate from registration with Micra. In that event, you may be able to receive academic credits in accordance to the School's rules and policies.

  5. Responsibilities of users on content materials

    When using this Website or the Services, you must not:

    • defame, abuse, harass, stalk, threaten or otherwise violate the rights (such as rights of privacy and publicity) of others;
    • publish, post, distribute or disseminate any defamatory, infringing, obscene, indecent, offensive or unlawful material or information;
    • upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights or have received all necessary consents;
    • upload files that contain viruses, corrupted files or any other similar software or programs that may damage the operation of another's computer;
    • post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any other user of the Services;
    • run Maillist, Listserv, any form of auto-responder, or “spam” on the Services, or any processes that run or are activated while you are not logged on to the Website, or that otherwise interfere with or place an unreasonable load on the Services’ infrastructure or any third party websites or services;
    • decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services;
    • delete any author attributions, legal notices or proprietary designations or labels in any file that is uploaded;
    • falsify the origin or source of software or other material contained in a file that is uploaded;
    • advertise or offer to sell any goods or services or conduct or forward surveys, competitions, or chain letters, or solicit donations; or
    • download any file posted by another user of this Website that you know, or reasonably should know, cannot be legally distributed in such manner.
  6. Payment Terms

    By enrolling in an online or face-to-face Course and providing Micra with your payment information, you hereby agree to these payment terms. To purchase any products offered by Micra, you must have Internet access and a current valid accepted payment method as indicated during sign-up process ("Payment Method"). Micra works with third party payment processing partners to offer you the most convenient payment methods in your country and to keep your payment information secure. You agree to Micra, or its third-party payment provider, storing and accessing your payment information. You also agree to pay the applicable fees for the products you purchase through the Micra Services. Fees may vary based on your location, the type of Payment Method used, where your Payment Method was issued, or other contractual arrangements. Your transaction with us may be subject to foreign exchange fees or differences in prices, including because of exchange rates.

    Full payment for participation in any online and face-to-face programme is required at the time of course registration. Specific payment requirements and related terms may be provided to you at the time of registration on the applicable online and face-to-face programme-specific web page or otherwise on the applicable Service.

    When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the course you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any course for which we have not received adequate payment.

  7. Cancellation Policy and Refunds

    For purchase of online courses, Micra will not offer refunds on any fees and charges related to your purchase.

    For face to face programmes, a 50% refund will be for cancellation received in writing not later than 2 weeks prior to programmes’ dates. Only 25% refund and workshop documentation will be given for cancellation received within 2 weeks before programme commencement.

    We reserve the right to levy a 20% charge from the total paid fee to cover any subsequent administrative expenses. However, no refunds shall be offered, where a Service is deemed to have begun and is, for all intents and purposes, underway. Any monies that have been paid to us which constitute payment in respect of the provision of unused Services, shall be refunded.

    At our discretion, if we believe you are abusing our refund policy, such as if you’ve consumed a significant portion of a course that you want to refund or if you’ve previously refunded a course, we reserve the right to deny your refund, ban your account, and/or restrict all future use of the Services. If we ban your account or disable your access to a course due to your violation of these Terms, you will not be eligible to receive a refund.

  8. Promotional Codes

    Micra or our partners may offer promotional codes to students. Certain codes may be redeemed which then may be used to purchase eligible courses on our platform, subject to the terms included with your codes. Other codes may be directly redeemable for specific courses.

    These codes, as well as any promotional value linked to them, may expire if not used within the period specified in your account. Promotional codes offered by Micra may not be refunded for cash, unless otherwise specified in the terms included with your codes or as required by applicable law. Promotional codes offered by a partner are subject to that partner’s refund policies

  9. Indemnity

    You agree to indemnify and hold harmless Micra from any and all claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees and costs, relating to or arising out of (a) your use or attempted use of any of the Programmes or other Services in violation of the Agreements; (b) your violation of any law or rights of any third party; or (c) information or content that you post or otherwise make available through any Programme or otherwise via any of the Services, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.

  10. Linking to third-party sites

    The Websites and/or online courses may contain links to pages or content on third-party websites ("Linked Sites"), and those Linked Sites may contain content or offer products and/or services for sale. Micra is not responsible for and does not routinely screen, approve, review or endorse the contents or use of any of the products or services that may be offered at these websites or applications. If you decide to access linked third-party websites or applications, you do so at your own risk. You acknowledge and agree that (a) we have no responsibility for the accuracy or availability of information provided by Linked Sites, and (b) we do not control or endorse the sponsors of such Linked Sites or the content, products, advertising, or other materials presented on such Linked Sites.

  11. Disclaimer

    THE SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THE MICRA PARTIES SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. THE MICRA PARTIES FURTHER DISCLAIM ANY AND ALL LIABILITY RELATED TO YOUR ACCESS OR USE OF THE SERVICES OR ANY RELATED CONTENT. YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS TO OR USE OF THE SERVICES OR SUCH CONTENT IS AT YOUR OWN RISK.

  12. Modification and Termination of Services

    Micra reserves the right to cancel, modify, or reschedule any course or to interrupt any course content or the point value or weight of any assignment, quiz, or other assessment.  We are constantly changing and improving our Services. We may add or remove functions, features, or requirements, and we may suspend or stop a Service altogether. Accordingly, Micra may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available under our Refund Policy. None of Micra, its participating institutions and instructors, its contributors, sponsors, and other business partners, and their employees, contractors, and other agents (the "Micra Parties") shall have any liability to you for any such action. You can stop using our Services at any time, although we'll be sorry to see you go.

  13. Laws and Jurisdiction

    These Terms are governed by the laws of Malaysia without reference to its choice or conflicts of law principles. You and us consent to irrevocably submit to the exclusive jurisdiction of the courts of Malaysia.
